Kiroex Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Kiroex platform, including our website at kiroex.com, our web application, and all related services (together, the "Service"). The Service is operated by Kiroex Ltd ("Kiroex", "we", "us", or "our"), a company registered in England and Wales under company number 17274823.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

2. Eligibility

To use the Service, you must:

• be at least 18 years old;
• have the legal capacity to enter into a binding contract;
• not be barred from using the Service under the laws of England and Wales or any other applicable jurisdiction;
• not be located in, or a resident of, a country subject to sanctions that would prohibit your use of the Service.

Kiroex does not knowingly permit anyone under 18 to register. If we become aware that an account belongs to someone under 18, we will suspend or terminate it.

You are responsible for ensuring that your use of the Service, including participation in the marketplace and any financial content shared on the platform, complies with the laws applicable in your jurisdiction, including any restrictions on receiving or acting on trading-related content.

3. Account Registration and Security

To access most features you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity that occurs under your account, whether or not authorized by you;
• notifying us immediately at support@kiroex.com if you suspect unauthorized access or use of your account.

We may suspend or terminate your account if we reasonably believe it has been compromised, or if you fail to comply with these Terms.

4. Description of the Service

Kiroex is an online trading-education and community platform. Depending on your account type and subscriptions, the Service may include:

4.1 Platform Subscriptions

Direct subscriptions to Kiroex at "member" or "trader/educator" tiers, granting access to platform features according to the tier purchased, plus optional add-ons (such as extra connected trading accounts). Payment is described in Section 5.

4.2 Trader/Community Marketplace

Kiroex hosts a marketplace in which independent traders and educators ("Traders") operate their own paid communities. Members may subscribe to individual Trader-led communities. Payments for community subscriptions are processed through the payment providers described in Section 5, with the Trader's share paid out to them, subject to Kiroex retaining a platform fee on each subscription as set out in Section 5 and in the applicable Trader agreement. Kiroex is not a party to, and does not guarantee the content or quality of, any individual community.

Traders may include certain Kiroex tools (such as the AI Trade Journal, the Trade Copier or Prop Practice) in their paid plans. Where they do, members on that plan get access to those tools for as long as their subscription is active, and the cost is deducted from the Trader's payout.

4.3 AI Trade Journal

Members may connect their own trading history to an AI-powered trade journal, which analyzes the member's own trades and provides commentary, statistics, and insights. This feature is powered in part by Anthropic's Claude AI models (see Section 4.13). Trade history may be imported via:

• a live, read-only connection to the member's own trading account through a third-party connection service (MetaApi or Finatic); or
• manual upload of CSV or HTML trade history files.

Analysis generated by the trade journal is automated, educational commentary based on the data provided and is not personalized financial advice.

4.4 Live Trading Sessions, Courses and Mentoring

Kiroex and/or Traders may offer scheduled live trading sessions, structured courses and books (sold individually or included in a community plan), and one-to-one calls. These are educational in nature and do not constitute individualised investment advice or a recommendation to buy, sell, or hold any financial instrument.

4.5 Events and Tickets

Traders, Kiroex and outside organizers may list events on the Service. Tickets may be sold through Kiroex, through Eventbrite, or on the organizer's own website. The organizer of each event is responsible for running it and for its refund policy, which is shown on the event page. Where you buy through an outside website, that website's terms apply.

4.6 Bookings (My Kiros)

Kiroex team members, Traders and partners may let you book calls with them through My Kiros. When you book, you may choose to create a free Kiroex member account at the same time; you can remove that account from the link in your booking confirmation. Meeting links may be provided by Google Meet, Zoom or another video service.

4.7 Forums and Messaging

Kiroex provides a public community forum, per-community forums and chats for members of specific Trader communities, group chats, and end-to-end encrypted direct messaging. Because direct messages are end-to-end encrypted, Kiroex cannot access their content and cannot moderate, recover, or provide copies of message content, except as described in our Privacy Policy.

4.8 Broker and Prop-Firm Listings, Comparisons and Referral Links

The Service lists and compares third-party brokers, crypto exchanges and proprietary trading firms, including their prices, rules, offers and ratings. This information comes from the firms themselves and from automated research of their public websites, and may be incomplete, out of date or wrong; always check it on the firm's own website before you sign up. Comparisons and rankings are for information only and are not a recommendation.

The Service may contain referral or affiliate links to these firms. Kiroex may receive compensation if you sign up through these links. Kiroex does not endorse, control, or take responsibility for the products or services of any linked third party.

4.9 Prop Practice

Where available, Prop Practice is a simulated trading environment for practice and education. Practice accounts hold no real money, place no real trades and never pay out. Certificates show results in practice only; they are not a qualification and are not a funded account. Rule sets modeled on a firm's public rules are for practice; Kiroex is not affiliated with those firms, and their real rules may differ or change.

4.10 Trade Copier

The Trade Copier copies trades between trading accounts that you have connected and that belong to you. You may not use it to copy trades into an account that belongs to someone else. You choose the accounts, sizes and settings, and you remain responsible for every trade placed. Copies can be delayed, rejected by your broker, sized differently or missed; Kiroex does not guarantee that any trade is copied, and is not responsible for losses caused by copying, by your broker or by a connection service.

4.11 Kiroex Connect and Insider Accounts

Kiroex Connect lets brokers, prop firms, account managers and other industry professionals create business listings and profiles. Kiroex reviews these accounts before they go live and may remove a listing at any time. Each business is responsible for the accuracy of what it publishes and for complying with the rules that apply to it, including financial promotion rules.

4.12 Affiliate/Referral Program

Kiroex operates a platform-wide affiliate/referral program allowing users to earn rewards for referring new users or subscribers, subject to separate program terms made available at sign-up to the program.

4.13 AI Features

Kiroex uses Anthropic's Claude models to power certain features, including the trade journal's analysis, an in-app assistant, and automated support-ticket responses. These AI features:

• generate content automatically and may occasionally produce inaccurate, incomplete, or outdated output;
• do not constitute financial, legal, tax, or investment advice;
• should not be relied upon as a substitute for independent judgment or professional advice.

4.14 Integrations and Connected AI Assistants

Traders may optionally connect third-party services, such as Discord, Telegram and LinkedIn, to post updates to their audience, including posts scheduled in advance. Traders may also connect their own AI assistant (such as ChatGPT, Claude or Grok) to their Kiroex account; that assistant can read the summary information and take the limited actions the Trader approves, and any draft it creates is only published if the Trader chooses to. Kiroex does not control, and is not responsible for, the content, availability or security practices of these services, and your use of them is governed by their own terms.

5. Subscription Billing, Trials, Cancellation and Refunds

5.1 Payment Processing

Payments are processed by third-party payment providers, including Stripe (card payments and, for Trader payouts, Stripe Connect), BoomFi (card and crypto payments), NOWPayments (crypto payments and crypto payouts) and, in some countries, Startbutton. The provider you pay through may depend on your country. By paying, you also agree to that provider's terms. Kiroex does not store full payment card details or crypto private keys.

Prices are shown in US dollars by default. You may choose to see prices in another currency; prices in other currencies are estimates, and the amount you are charged is the amount shown at checkout. Crypto payments are final once confirmed on the blockchain and cannot be reversed by Kiroex.

5.2 Subscriptions and Renewal

Subscriptions are billed on a recurring basis (monthly or annually, as selected) and, where paid by card, will automatically renew at the then-current price unless canceled before the renewal date. Crypto payments do not renew automatically: each payment covers one billing period, we will remind you before it ends, and your access ends if you do not pay for the next period.

Courses, books and event tickets bought on their own are one-time purchases and do not renew.

5.3 Free Trials

Where offered, free trials convert automatically into a paid subscription at the end of the trial period unless canceled beforehand. We will where required by law notify you of an upcoming conversion.

5.4 Cancellation

You may cancel a platform subscription or a community subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that date, and no partial-period refund will be given unless required by law or stated otherwise in this Section.

5.5 Refunds

Except where required by applicable consumer law (including your statutory right to cancel certain distance contracts within 14 days, subject to any exceptions for digital content or services that have already begun with your consent), subscription fees are non-refundable. Refund requests should be sent to support@kiroex.com and will be assessed on a case-by-case basis.

5.6 Platform Fee

Kiroex retains a platform fee on each community subscription, course sale and ticket sale processed through the marketplace, deducted from the amount otherwise payable to the Trader. The applicable fee percentage is disclosed to Traders in their Trader agreement and/or dashboard and may be updated from time to time on reasonable notice.

5.7 Price Changes

We may change subscription prices. Where required, we will give you advance notice, and the new price will take effect from your next renewal unless you cancel beforehand.

6. Trader-Specific Terms

These provisions apply to any user who registers as a Trader/educator and operates a paid community, publishes courses, or otherwise provides content in that capacity.

6.1 Revenue Share

Traders receive payouts for their sales, net of the Kiroex platform fee described in Section 5.6, the cost of any Kiroex tools included in their plans, and any applicable payment processing fees. Payouts are made through Stripe Connect or, where Stripe is not available in the Trader's country, in crypto (for example USDT) to a wallet the Trader has verified. To receive payouts, Traders must complete identity verification. Payout timing and minimum amounts are shown in the Trader's dashboard. We cannot make payouts to countries subject to sanctions.

6.1A Going Live

Before a Trader's community is shown publicly, the Trader must complete the setup steps shown in Studio, which may include identity verification and connecting a payout method. Kiroex may refuse or remove any community at its discretion.

6.2 Ownership of Trader Content

As between Kiroex and the Trader, the Trader retains ownership of the original content they create and post, including market analysis, commentary, course materials, and recorded sessions ("Trader Content"). By posting Trader Content, the Trader grants Kiroex a non-exclusive, worldwide, royalty-free license to host, store, display, distribute, and promote that content as necessary to operate and market the Service.

6.3 Trader Responsibilities

Traders are solely responsible for:

• the accuracy, legality, and suitability of their content and any market commentary they share, which is educational in nature only and must not be presented as personalized financial advice;
• complying with any applicable regulatory requirements relevant to their activities, including any restrictions on providing regulated financial advice or promotions in their jurisdiction;
• their tax obligations in respect of amounts received through the Service.

6.4 No Employment or Agency

Traders operate as independent users of the Service and are not employees, agents, or representatives of Kiroex. Nothing in these Terms creates a partnership, joint venture, or employment relationship between Kiroex and any Trader.

7. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• present yourself as a regulated financial adviser, broker, or fund manager, or hold out any content on the Service as personalized financial advice;
• provide false, misleading, or manipulated trade data, testimonials, or performance claims;
• engage in market manipulation, coordinated pump-and-dump activity, or fraudulent trading schemes;
• harass, abuse, defame, or threaten other users, including within forums or direct messages;
• upload malware, attempt to gain unauthorized access to the Service, or interfere with its normal operation;
• scrape, reverse-engineer, or misuse the Service's data, APIs, or AI features;
• circumvent Kiroex's platform fee by directing marketplace subscribers to pay outside the Service;
• infringe the intellectual property, privacy, or other rights of any person;
• misuse the affiliate/referral program, including through fraudulent referrals or self-referral abuse;
• use the Trade Copier, connected accounts or AI assistant connections to access or trade in accounts that are not yours;
• share fake or misleading results, including from Prop Practice, as real trading results.

We may investigate suspected violations and take action including content removal, warnings, suspension, or termination, at our discretion.

8. Intellectual Property

The Service, including its software, design, trademarks, logos, and Kiroex-created content (excluding Trader Content and other user-generated content), is owned by Kiroex or its licensors and protected by intellectual property laws.

Subject to Section 6.2, users retain ownership of content they submit (e.g., forum posts, messages, course materials) but grant Kiroex a license to host, display, and distribute such content as needed to provide the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, except as expressly permitted by these Terms or with our written consent.

9. Disclaimers

9.1 Educational Platform Only

Kiroex is an educational and community platform. Kiroex is not a financial advisor, broker, dealer, fund manager, or custodian. We do not hold client funds for trading purposes, execute trades, or manage investments on behalf of users.

9.2 No Personalized Advice

Nothing on the Service — including market analysis, commentary, signals, course content, live sessions, or AI-generated output — constitutes personalized investment, financial, legal, or tax advice, or a recommendation to buy or sell any financial instrument. All such content is provided for general educational purposes only.

9.3 Trading Risk

Trading financial markets carries a significant risk of loss and is not suitable for everyone. Past performance, including any performance shown in the trade journal, Prop Practice or shared by Traders, is not indicative of future results. You should only trade with money you can afford to lose, and you remain solely responsible for your own trading decisions.

9.4 Third-Party Services

The Service links to and integrates with services run by others, including payment providers, brokers, prop firms, trading-account connection services (MetaApi and Finatic), Discord, Telegram, LinkedIn, Google, Zoom, Dropbox, Eventbrite and AI providers. Kiroex does not control these services and is not responsible for their availability, content or conduct. Your use of them is governed by their own terms.

9.5 Availability

We work to keep the Service available and secure, but we provide it "as is" and "as available". We do not promise that it will be uninterrupted, error-free or free from harmful components, and we may carry out maintenance that temporarily affects access.

10. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under English law. If you are a consumer, nothing in these Terms affects your statutory rights.

Subject to that:

• we are not liable for any trading losses, or for any loss of profit, revenue, data or opportunity, arising from your use of the Service or any content on it, including content from Traders, AI features or third-party services;
• we are not liable for losses that were not reasonably foreseeable when you started using the Service, or that were caused by events outside our reasonable control;
• if you use the Service for business purposes, our total liability to you in any 12-month period is limited to the greater of £100 and the total fees you paid to Kiroex in that period.

11. Indemnity

If you use the Service as a Trader or for business purposes, you agree to compensate Kiroex for claims, losses and reasonable costs brought by third parties that arise from your content, your breach of these Terms, or your breach of any law or the rights of another person.

12. Suspension and Termination

You can stop using the Service and close your account at any time from your account settings. Closing your account does not cancel any amounts already due.

We may suspend or end your access if you seriously or repeatedly breach these Terms, if we are required to by law, or if we reasonably believe your use puts other users, Traders or Kiroex at risk. Where reasonable, we will give you notice and a chance to put things right first. If we end your access without fault on your part, we will refund any fees paid for a period you can no longer use.

Sections that by their nature should survive termination (including Sections 8, 9, 10, 11 and 15) continue to apply after your account is closed.

13. Changes to the Service and These Terms

We may change, add or remove features of the Service. We may also update these Terms, for example to reflect new features, legal requirements or changes to how we operate. If a change materially affects you, we will tell you by email or through the Service before it takes effect. If you continue to use the Service after the change takes effect, you accept the updated Terms; if you do not agree, you can close your account.

If you have a question or complaint, please contact us at support@kiroex.com or write to Kiroex Ltd, 124 City Road, London EC1V 2NX. We aim to respond within five working days and to resolve complaints as quickly as we can.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and if you live elsewhere you keep any protections given to you by the mandatory laws of your country of residence.

16. General

• Company details: the Service is operated by Kiroex Ltd, a company registered in England and Wales under company number 17274823, with its registered office at 124 City Road, London EC1V 2NX.
• Entire agreement: these Terms, together with our Privacy Policy, Cookie Policy and any terms that apply to specific features (such as Trader agreements or affiliate program terms), form the whole agreement between you and Kiroex about the Service.
• Transfer: we may transfer our rights and obligations under these Terms to another organization, for example if Kiroex is sold. We will tell you if this happens, and it will not reduce your rights. You may not transfer your rights without our written consent.
• Severability: if any part of these Terms is found to be invalid or unenforceable, the rest remains in effect.
• No waiver: if we delay or do not enforce a right, we can still enforce it later.
• Third parties: nobody other than you and Kiroex has any right to enforce these Terms.

Community Standards

Kiroex Community Standards

1. Introduction

These Community Standards apply to everyone who uses the community features of Kiroex, including the public community forum, per-community forums attached to individual trader-led communities, scheduled live trading sessions, and direct messages between members and traders (together, the "Community Features").

Kiroex exists to help people learn about trading in a supportive, honest environment. These standards set out what we expect from everyone using the Community Features, and what happens if those expectations aren't met.

These Community Standards form part of, and should be read alongside, our main Terms of Service. If there is any conflict between this document and the Terms of Service, the Terms of Service will take priority, except where this document sets out more specific rules for community conduct, in which case the more specific rule applies.

2. Who This Applies To

These standards apply equally to:

• members using the public forum, per-community forums, live sessions, or direct messages;
• traders and educators running their own communities, hosting live sessions, or posting market analysis;
• anyone participating in direct messages, whether as sender or recipient.

Traders and educators are held to a higher standard where they are posting content to an audience, as set out in Section 5 below.

3. Respectful Conduct

We expect all users to treat others with courtesy and respect. In practice, this means:

• engaging in good faith, even when you disagree with someone;
• giving and receiving constructive feedback without personal attacks;
• respecting the boundaries and privacy of other users;
• following any additional rules a trader has set for their own community, provided those rules don't conflict with these standards.

4. Prohibited Content and Conduct

The following is not permitted anywhere on Kiroex, including in direct messages:

4.1 Harassment and abuse

• targeted harassment, bullying, threats, or intimidation of any user;
• hate speech or discriminatory content based on race, religion, gender, sexual orientation, disability, or any other protected characteristic;
• sharing another person's private information without their consent ("doxxing");
• sexual or violent content that is not appropriate for a professional, educational platform.

4.2 Spam and manipulation

• unsolicited advertising, repetitive posting, or off-topic promotional content;
• bot-driven or automated posting;
• attempts to artificially inflate engagement, followers, or subscriptions;
• soliciting members away from Kiroex to unregulated or unverifiable services.

4.3 Scams and financial misconduct

• scams, phishing attempts, or requests for money outside Kiroex's payment systems;
• pump-and-dump schemes, or coordinating to artificially move the price of an asset for personal gain;
• claims of guaranteed returns, "risk-free" trading, or guaranteed profits of any kind;
• offering personalized financial advice (see Section 5.3);
• impersonating Kiroex staff, a trader, a broker, or any other individual or organization;
• soliciting funds for "managed accounts," signal-selling schemes, or copy-trading arrangements outside of Kiroex's own features.

4.4 Illegal or harmful content

• content that is illegal in the UK or promotes illegal activity;
• malware, phishing links, or attempts to compromise another user's account or device;
• content infringing someone else's intellectual property rights.

5. Rules for Traders Posting Market Analysis

Traders and educators play a central role on Kiroex, and we want them to share their knowledge freely. But because members may rely on this content when making their own decisions, additional rules apply to anyone posting market analysis, trade ideas, or commentary in a community forum, live session, or direct message.

5.1 Educational framing only

All market analysis, trade ideas, and commentary must be presented clearly as educational content, reflecting the trader's own opinion or approach. It must not be presented as a recommendation to buy, sell, or hold any specific asset, nor as personalized financial advice tailored to an individual member's circumstances.

5.2 No guarantees

Traders must never claim or imply that a trade, strategy, or approach is guaranteed to be profitable, risk-free, or certain to produce a particular outcome. Phrases such as "guaranteed profit," "can't lose," or similar are not permitted.

5.3 No personalized advice

Traders must not provide advice tailored to an individual member's personal financial situation (for example, telling a specific member how much of their own money to invest, or what personal financial decisions to make). General educational commentary on markets, strategies, or historical trades is permitted; individualised financial advice is not.

5.4 Risk disclosure

Trade ideas and market analysis should clearly disclose that trading carries risk, including the risk of losing money, and that past performance is not a reliable indicator of future results. Traders are encouraged to include a brief risk reminder when sharing trade ideas, particularly in live sessions.

5.5 Honesty about track record

Traders must not misrepresent their trading history, results, qualifications, or experience. Any performance figures shared with a community must be accurate and not misleading. Results from Prop Practice or any other simulated account must never be presented as real trading results.

6. Live Sessions and Direct Messages

• Live trading sessions are subject to the same standards as forum posts. Hosts are responsible for the conduct of their own sessions and should moderate their audience where they have the ability to do so.
• Direct messages between members and traders are end-to-end encrypted. Kiroex cannot see the content of these messages and cannot proactively moderate them. However, the same standards apply, and any report of a violation within direct messages will be investigated based on the information provided by the person reporting it.
• Members and traders remain responsible for their own conduct in direct messages, and misuse of DMs (for example, to solicit prohibited payments or make guaranteed-returns claims) may still result in enforcement action based on reports received.

7. Reporting a Violation

If you see content or behavior that breaches these standards, please report it:

• using the "report" function available on forum posts, comments, and community pages;
• by contacting Kiroex support directly, describing the issue and, where possible, providing screenshots or other evidence;
• for direct messages, by reporting the conversation through the in-app reporting tool, which allows you to share the relevant content with our moderation team.

We take all reports seriously and will review them as promptly as we reasonably can. Reports are handled confidentially where possible, though we may need to share relevant information with the reported user as part of investigating the issue.

8. Moderation and Enforcement

Kiroex and community traders (within their own communities) may take action where these standards are breached. Action taken will depend on the severity and context of the breach and may include:

1. Informal warning — a private message explaining the issue and what needs to change.
2. Content removal — removing or hiding the offending post, comment, or message content where technically possible.
3. Formal warning — a formal notice on the user's account, which may be taken into account in future decisions.
4. Temporary suspension — temporary restriction from posting in the public forum, a specific community, or live sessions.
5. Permanent removal — permanent removal from a specific community, or from the Kiroex platform entirely, for serious or repeated breaches.

We may take immediate action without prior warning in cases of serious breaches, including scams, guaranteed-returns claims, harassment, or illegal content.

Traders have the ability to moderate their own community forums and live sessions, including removing members and deleting content, subject to Kiroex's overriding authority to enforce these standards platform-wide. Kiroex may override, reverse, or escalate a trader's moderation decision where necessary.

Decisions on enforcement are made at Kiroex's reasonable discretion. If you believe a decision was made in error, you may appeal by contacting support with an explanation of why you believe the decision should be reconsidered.

9. Relationship to the Terms of Service

These Community Standards are part of the agreement between you and Kiroex and supplement our main Terms of Service. Breaching these standards may constitute a breach of the Terms of Service, and Kiroex may take any action permitted under the Terms of Service as a result, including suspending or terminating your account.

Nothing in these Community Standards limits Kiroex's rights under the Terms of Service, including rights relating to data protection, payment, liability, or termination.

10. Changes to These Standards

We may update these Community Standards from time to time to reflect changes in our platform, community feedback, or legal requirements. Where we make material changes, we will let you know through the platform. Continued use of the Community Features after such changes take effect means you accept the updated standards.
